Terms of Service

Last updated: October 18, 2026

Please read these Terms carefully. Two things in them matter most:

  • AI agents act for you. Tugboat’s agents can change your workspace, contact information, and publish websites when you ask them to. You are responsible for what they do on your behalf, and for reviewing it (sections 10 and 11).
  • Disputes go to individual arbitration. If you are in the United States, section 26 requires most disputes to be resolved by binding individual arbitration, and waives class actions and jury trials. You can opt out within 30 days.

Wiblo is now Tugboat. The company behind it is the same: Wiblo LLC. These Terms replace the Wiblo Terms of Service of August 13, 2026. Where the product, the command-line tools, an email, or an earlier agreement still says Wiblo, it means Tugboat.

1. Agreement to these Terms

These Terms of Service (“Terms”) are an agreement between you and Wiblo LLC, a Delaware limited liability company that provides Tugboat (“Tugboat”, “we”, “us”). They govern your access to and use of the Service, meaning the website at heytugboat.com and our earlier domain wiblo.app, the Tugboat web and mobile applications, the command-line tools, the API, the AI agents, the component library, and the websites we build and host for you.

You accept these Terms by creating an account, by clicking to accept them, or by using the Service. If you use the Service for a business or other organization, you accept these Terms for that organization, you confirm you have the authority to bind it, and “you” means that organization. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle information and forms part of these Terms. If you sign an order form or other written agreement with us, it also forms part of these Terms, and it wins over these Terms where they conflict.

2. Definitions

  • Workspace: the shared space in the Service where a business keeps its content, its team, its agents, and its websites.
  • Your Content: everything you, your team, or your agents put into the Service or create with it, including Client Data, Output, repositories, and websites.
  • Client Data: personal information in Your Content about other people, such as your clients, your staff, and visitors to your websites.
  • Agent: an AI system in the Service that can carry out tasks in your workspace on your instructions.
  • Output: text, code, images, websites, messages, and other material that an agent or other AI feature produces for you.
  • Paid Plan: any part of the Service you pay for, including subscriptions and usage-based charges.

3. The Service

Tugboat runs a service business in one workspace: bookings and scheduling, services and availability, clients and contacts, intake forms, websites, and the team. People operate it through the web and mobile applications. Agents operate it on your behalf, and so can your own software through the command-line tools and the API.

Tugboat is a new product and changes quickly. We may add, change, or remove features. If a change materially reduces what a Paid Plan gives you, we will tell you in advance, and you may cancel and receive a pro-rated refund of any prepaid fees for the period after the change.

Early-access features. Features labeled beta, preview, early access, or similar are provided as is. They may change or be withdrawn without notice, may be less reliable than the rest of the Service, and carry no support commitment or warranty. Much of Tugboat is early access today, and we mark features stable as they mature.

Support. We provide support by email at our discretion, unless your Paid Plan says otherwise. We do not promise any uptime or response time unless a written agreement with us does.

4. Eligibility

To use the Service, you must:

  • be at least 18 years old and able to form a binding contract;
  • use the Service for a business, professional, or organizational purpose;
  • not be barred from using it under the law of the United States or of your country, and not be named on, or owned or controlled by anyone named on, a US, EU, UK, or UN sanctions list;
  • not have had a Tugboat account terminated by us for breaching these Terms, unless we agree otherwise.

5. Accounts and security

You can sign up with an email address and password, or with a supported sign-in provider such as Google. Keep your account information accurate and your password private. You are responsible for everything done through your account, and you must tell us promptly at support@heytugboat.com if you believe it has been compromised. Accounts are personal: you may not share, sell, or transfer yours.

6. Workspaces and teams

The owner of a workspace controls it: who joins, what role each member has, which agents and access tokens exist, and what happens to its content. If a business or a colleague invites you into a workspace they own, that owner controls the workspace and its content, including what you contribute to it, and may remove you. If you set up a workspace for your employer, the employer is the customer, and these Terms bind the employer.

The workspace owner is responsible for the people it lets in, for the roles it gives them, and for what they do in the workspace. Invitations are sent to the email address the person inviting provides.

7. Your Content

You own Your Content. As between you and us, you keep all rights in Your Content, including the Output we produce for you.

The rights you give us. You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, adapt (for example, to format or compress it), back up, and display Your Content, but only to provide, secure, and support the Service for you, and as these Terms and our Privacy Policy describe. This license includes our service providers, under the same limits. It ends when Your Content is deleted from our systems, except for copies we must keep by law or that sit in backups until they expire.

No training. We do not use Your Content to train AI models, and we do not let our AI providers do so.

Your promises about Your Content. You promise that you have all the rights and consents needed to put Your Content into the Service and to let us process it under these Terms, and that Your Content and our processing of it under these Terms do not break the law or anyone’s rights.

Public content. Some content is public by design: published websites, public booking pages, and profile images. Anyone who can reach them can see them.

Output may not be unique. Agents and other AI features may produce the same or similar Output for other customers. Your ownership of your Output does not extend to what others receive.

8. Your clients’ information

Your Content may include Client Data. You are the controller (or responsible party) for Client Data, and we process it on your behalf under section 9. You are responsible for:

  • having a lawful basis to collect and use Client Data, and any consent the law requires;
  • giving your clients and website visitors the privacy notices the law requires, including on the websites you publish with Tugboat;
  • answering your clients’ requests about their information. We will pass you any request we receive and help as section 9 describes;
  • meeting the laws that apply to your business and to Client Data, wherever your clients live.

Health and other sensitive data. Tugboat is not designed to hold health records, and we do not act as a business associate under HIPAA. Do not store protected health information in the Service, and do not use the Service where a law would require us to sign a business associate agreement. If your business is health-adjacent, for example a med spa or a personal trainer, information such as the treatment a client books can still be consumer health data under laws like Washington’s My Health My Data Act. You are responsible for meeting those laws, including any consent they require, and for limiting what you store to what you need.

Data we ask you never to store. Do not put into the Service, including into booking fields, client records, forms, or agent conversations: payment card numbers or bank account credentials, government identity numbers such as Social Security or South African ID numbers, passwords for other services, biometric data, or information about children under 13 (or the higher age set by local law). Tugboat is not a payment processor and these fields are not built to protect such data.

9. Data processing terms

This section applies when we process Client Data or other personal information in Your Content for you. It is our data processing agreement with you, and it meets the requirements of Article 28 of the EU and UK GDPR, sections 19 to 21 and section 72 of South Africa’s POPIA, and the service provider rules of US state privacy laws. If you need a signed copy, email support@heytugboat.com.

  1. Instructions. We process that information only to provide the Service, on your documented instructions. Your instructions are these Terms, your settings, and your use of the Service, including the tasks you give agents. If we believe an instruction breaks the law, we will tell you. If the law requires us to process the information in another way, we will tell you first unless the law forbids it.
  2. Nature and scope. The data subjects are your clients, contacts, staff, and website visitors. The data is what you choose to store: typically names, contact details, booking history, form answers, notes, and messages. We process it for as long as you keep it in the Service.
  3. No selling or other uses. We do not sell or share the information, retain or use it for any purpose other than providing the Service to you, combine it with information from other sources except as the Service needs, or use it outside our direct business relationship with you. We certify that we understand and will comply with these restrictions.
  4. Confidentiality. Everyone we allow to process the information is bound to keep it confidential.
  5. Security. We protect the information with the measures described in section 10 of our Privacy Policy, and we keep them current.
  6. Subprocessors. You authorize us to use the subprocessors listed in section 6 of our Privacy Policy. We bind each one to data protection terms at least as protective as these, and we are responsible for their work. We will update that list at least 14 days before a new subprocessor starts processing the information. If you object on reasonable data protection grounds within that time, we will work with you to resolve the objection. If we cannot, you may cancel the affected part of the Service and receive a pro-rated refund of prepaid fees.
  7. Assistance. We will help you, through the Service’s features or otherwise, to answer data subject requests, to secure the information, to notify breaches, and to carry out data protection impact assessments and prior consultations, taking into account what information we have.
  8. Breach notice. We will tell you without undue delay, and where we can within 72 hours, after we become aware of a breach of security affecting the information. We will give you the details we have and update you as we learn more.
  9. Deletion and return. You can export your workspace content while your account is active. After your workspace is deleted or your account ends, we delete the information within 30 days (section 22), unless the law requires us to keep it.
  10. Audits. We will make available the information you reasonably need to show compliance with this section and will answer reasonable written questions about it. Where the law requires more and the information we give does not answer your question, we will allow an audit by you or an independent auditor bound by confidentiality, no more than once a year, with 30 days’ notice, at your cost.
  11. International transfers. We process the information in the United States. Where you transfer information to us from the European Economic Area, the United Kingdom, Switzerland, or South Africa, the following apply and are made part of these Terms: Module Two (and, where you act as a processor, Module Three) of the European Commission’s Standard Contractual Clauses (Decision 2021/914), with the optional docking clause, Option 2 (general authorization) in Clause 9, no optional language in Clause 11, Irish law and courts in Clauses 17 and 18, and the details in this section as the Annexes; the UK International Data Transfer Addendum to them; the same clauses with the necessary changes for Switzerland; and, for South Africa, this section as the binding agreement under section 72 of POPIA. If they conflict with these Terms, those clauses win.

10. Agents

Agents are the core of Tugboat. They can read and change your workspace, write and commit code, edit and publish websites, change bookings and records, and, where the Service offers it, prepare or send messages. Please read this section carefully.

Agents act on your authority. An agent acts only within the permissions you and your workspace give it, and only because you or someone in your workspace asked it to. Everything an agent does in your workspace, and everything done with an access token or API key you issued, is treated as done by you. You are responsible for it, as if you had done it yourself, whether or not the agent followed your exact words.

Oversight is your job. You must keep meaningful human oversight of your agents. Where the Service offers approval steps for agent actions, you decide how to configure them, and we recommend requiring approval before an agent sends a message to anyone outside your team, deletes data, publishes a website, or changes billing or configuration. Review what an agent produces before you rely on it, and fix any mistakes an agent makes, including with anyone affected.

Websites and other artifacts. You are responsible for the websites, documents, code, and other artifacts an agent creates, edits, or publishes for you, as if you had made them yourself. That includes keeping published content lawful and removing content that breaks these Terms.

Limits we set. We may set limits on agent usage, such as monthly spending caps, run lengths, or concurrency, and an agent stops when it reaches them. We may decline, pause, or stop any agent action that we reasonably believe is unlawful, unsafe, abusive, or against these Terms, whatever your instructions. We monitor and log agent activity to run the Service, to keep it safe, and to prevent abuse, and we keep those logs as our Privacy Policy describes. We have no duty to monitor or review what agents do for you.

No guarantee of completion. We do not promise that an agent will finish a task, finish it on time, achieve the result you wanted, or that its actions can be undone. Some actions, such as sent messages and published content, cannot be reversed.

No agency or fiduciary duty. Agents are software tools. Neither we nor our agents are your employee, agent in law, partner, or fiduciary, and no such relationship is created with anyone an agent deals with for you.

Tokens and the API. Keep access tokens and API keys secret, grant them the narrowest scope the task needs, and revoke them when they are no longer needed. Do not use the API to get around rate limits, usage limits, or access controls.

11. AI features and Output

AI can be wrong. Output and agent actions may be inaccurate, incomplete, out of date, or different from what you meant, and may look confident when they are wrong. Results depend on your instructions, your content, and the services you connect. Check Output before you use it, publish it, or act on it.

Not professional advice. The Service, including its AI features, provides software and information, not legal, tax, accounting, financial, medical, or other professional advice. For advice about your situation, consult a qualified professional.

Tell people when they deal with AI. Where the law requires it, you must tell people that they are communicating with an AI system or that content is AI-generated, and you must not present AI Output as written by a person. This includes laws like California’s bot disclosure law and Article 50 of the EU AI Act.

No significant automated decisions. Do not use agents or Output to make, or substantially make, decisions about a person’s employment, credit, housing, insurance, education, healthcare, or legal rights without meaningful human review, or where the law restricts such decisions.

Our AI providers. AI features use models from third-party providers, which our Privacy Policy names. You must not use the Service to break those providers’ usage policies, which prohibit, among other things, the uses listed in section 14.

12. Websites you publish

Tugboat can build, host, and publish websites for your business.

  • You are the publisher. You decide what goes on your websites and are responsible for it, including its accuracy, the claims it makes about your services, and its compliance with the law. That includes advertising, consumer protection, accessibility, and privacy law, and the legal notices your country requires of a business website.
  • Your website’s privacy notice. If your website collects information from visitors, such as booking requests or form answers, you must publish a privacy notice that describes it accurately. Our standard website sets no cookies and loads no tracking scripts. If you add any, you are responsible for the consent the law requires.
  • Addresses and domains. We may host your website on an address we provide, such as a subdomain. That address belongs to us, and it ends when your website or account ends. If you connect your own domain, you must have the right to use it, and you stay responsible for its registration and renewal. If we offer to register a domain for you, it is registered in your name or for your benefit, under the registrar’s terms.
  • Takedowns. We may disable or remove a website, or part of it, that we reasonably believe breaks these Terms or the law, or that receives a valid legal complaint. Where it is reasonable and lawful, we will tell you first and give you a chance to fix it. To report a website hosted on Tugboat, email support@heytugboat.com.

13. The library and templates

The Service includes a component library, website templates, and starter code that we provide (together, “Tugboat Materials”). We grant you a worldwide, non-exclusive, non-transferable license to use, copy, and modify Tugboat Materials to build and run your business’s websites and workspace. If Tugboat Materials are in your repositories when you leave the Service, you may keep using them for the same websites and business after you leave. You may not sell or distribute Tugboat Materials on their own, or use them to build a competing library or website builder.

Some materials in the Service come from third parties, such as open-source software, fonts, and stock photographs. Those are licensed under their own terms, which we identify where we can, and those terms win for those materials.

14. Acceptable use

Do not use the Service, or let an agent use it, to:

  • break the law, or help anyone else break it;
  • infringe or misappropriate anyone’s intellectual property, privacy, or publicity rights;
  • send spam or bulk messages without the consent the law requires, or break messaging, telemarketing, or anti-spam laws;
  • create fake bookings, fake reviews, or misleading content, impersonate anyone, or misrepresent who you are or your connection to a business;
  • defraud, scam, or phish anyone, or collect credentials or payment details under false pretenses;
  • harass, threaten, stalk, abuse, or defame anyone, or promote violence or self-harm;
  • discriminate unlawfully against anyone, including in who may book with you or what they pay;
  • publish or distribute sexual content involving minors, non-consensual intimate images, or other illegal content;
  • create, distribute, or run malware, or attack any system;
  • access accounts, workspaces, data, or systems without authorization, or get around anyone’s security, access controls, paywalls, or CAPTCHAs;
  • probe, scan, or test the Service’s vulnerabilities, or disrupt, overload, or get around its security, rate limits, or bot protection, except under a written security research agreement with us;
  • run cryptocurrency mining, or use the sandboxes for anything other than work on your workspace;
  • copy, reverse engineer, decompile, or extract the source code or models of the Service, except as the law allows despite this restriction;
  • use the Service or its Output to build or train a competing product or AI model, or to extract our models’ capabilities;
  • override or get around the safeguards in our agents or in our AI providers’ models;
  • chain automated actions across systems in a way designed to hide that they are automated;
  • collect or process biometric data, or data about children, without the legal basis and consent the law requires;
  • offer regulated professional services, such as medical, legal, or financial advice, without the license the law requires;
  • help sell age-restricted goods or content to people too young to buy them;
  • resell, sublicense, or white-label the Service without our written agreement.

15. Messages to your clients

The Service can send, or let agents prepare and send, booking confirmations, reminders, and other messages to your clients by email, text message, or other channels. For every message sent for your business:

  • you are the sender, and you are responsible for its content and for having the consent the law requires before you send it;
  • you must meet the laws that apply where your clients live, including the US Telephone Consumer Protection Act and CAN-SPAM Act, state telemarketing laws, Canada’s anti-spam law, POPIA’s rules on direct marketing, and EU and UK electronic marketing rules;
  • you must honor opt-outs promptly, include the identification and unsubscribe details the law requires, and send marketing only to people who have agreed to receive it where the law requires consent;
  • where text messaging needs registration, such as US carrier registration for business texting, you must give us accurate information to complete it.

We may limit or suspend messaging for a workspace that causes high complaint, bounce, or opt-out rates, or that we reasonably believe breaks these rules.

16. Fees, plans, and payment

Free and paid features. Parts of the Service may be free, and parts require a Paid Plan. Prices, what each plan includes, and its usage limits are shown before you buy. We may set fair-usage limits on free features, and we may change or end free features, free trials, and promotions.

Subscriptions renew automatically. Paid Plans are billed in advance and renew automatically at the end of each billing period, for the same length of time, at the then-current price, until you cancel. When you buy, you authorize us and our payment processor to charge your payment method for the fees and taxes at the start of each period, and for usage-based charges as they are incurred. Keep a valid payment method on file.

Free trials. If a Paid Plan starts with a free trial, we will tell you at sign-up when the trial ends and what you will be charged. Unless you cancel before the trial ends, your plan starts and you are charged. Where the law requires it, we will remind you before the trial converts.

Usage and credits. Some features, such as agent runs, may be charged by usage or draw on included credits. Credits have no cash value, cannot be transferred or exchanged for money, and expire as stated when you get them. Promotional credits may be withdrawn or expire and are not restored.

Price changes. We will tell you at least 30 days before a price change for your plan takes effect. The new price applies from your next renewal after that notice. If you do not agree, cancel before the renewal.

Cancellation. You can cancel at any time in your account settings, or by emailing support@heytugboat.com. Cancellation stops the next renewal, and you keep access to the Paid Plan until the end of the period you have paid for.

Refunds. Fees are non-refundable, and we do not give credits for partial periods, except where these Terms say otherwise, where we tell you otherwise at purchase, or where the law requires a refund. Some countries give consumers a right to cancel within a set period after buying. Where that right applies to you, these Terms do not limit it.

Taxes. Prices do not include taxes unless we say they do. You pay any sales, use, value-added, goods and services, or similar taxes on your purchase, except taxes on our income.

Late or failed payments. If a charge fails, we may retry it. If an amount stays unpaid after we notify you, we may downgrade or suspend your Paid Plan. Whatever happens with billing, we will not withhold content you have already stored from export.

Billing disputes. If you think a charge is wrong, tell us within 60 days of the charge, so we can look into it. This does not limit any right you have with your card issuer.

17. Communications from us

We send messages about the Service, such as receipts, security alerts, notices of changes to these Terms, and account notices, to your account email address and in the Service. You agree to receive them electronically, and they satisfy any legal requirement that a notice be in writing. Keep your email address current. We may also send product news and offers by email, and you can opt out with the unsubscribe link at any time. Service messages continue whether or not you opt out.

18. Third-party services and connections

The Service works with services we do not control, such as Google sign-in, git hosting, domain registrars, payment processors, and services you connect to your workspace. Your use of a third-party service is governed by its own terms and privacy policy. When you connect one, you direct us to exchange information with it as the connection requires, and you are responsible for the permissions you grant. We are not responsible for third-party services, and we may stop supporting one at any time.

19. Mobile apps

If you download a Tugboat mobile app from an app store, these Terms are between you and Wiblo LLC, not the app store. Apple or Google has no duty to maintain or support the app, and is not responsible for any claim about it, including product liability, legal compliance, or intellectual property claims. If the app fails to meet a warranty that applies, you may notify the app store, which may refund the purchase price, if any, and has no other warranty duty. You must also follow the app store’s terms. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.

20. Our property and your feedback

We and our licensors own the Service and everything in it that is not Your Content: the software, the agents and their prompts and tools, the design, Tugboat Materials, and our names and logos. These Terms give you only the rights to use the Service that they expressly grant. You may not use our names or logos without our written permission, except to refer to the Service accurately.

If you send us feedback or suggestions, you give us a perpetual, irrevocable, worldwide, royalty-free license to use them without any obligation to you.

We may collect and use aggregated and de-identified information about how the Service performs and is used, to run and improve it. That information never includes Your Content and never identifies you or your clients.

We respond to notices of claimed copyright infringement under the US Digital Millennium Copyright Act. If you believe content on the Service, including a website we host, infringes your copyright, send a notice to our designated copyright agent: Wiblo LLC, Attn: Copyright Agent, support@heytugboat.com. The notice must include:

  1. your physical or electronic signature;
  2. a description of the copyrighted work you say is infringed;
  3. where the material you say is infringing appears, with enough detail for us to find it;
  4. your name, address, telephone number, and email address;
  5. a statement that you believe in good faith the use is not authorized by the copyright owner, its agent, or the law;
  6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

If we remove material because of a notice, we will tell the customer who posted it. That customer may send a counter-notice as the law provides, and we will handle it as the law requires. We terminate, in appropriate circumstances, the accounts of repeat infringers.

22. Suspension, termination, and your data

You can leave at any time. Cancel any Paid Plan, then delete your workspace or ask us to delete your account at support@heytugboat.com.

When we may suspend or end your access. We may suspend or end your access to all or part of the Service, or remove content or websites, if:

  • you materially breach these Terms, or we reasonably believe you have;
  • an amount stays unpaid after we notify you;
  • the law, a court, or a government authority requires it;
  • it is reasonably needed to protect the Service, our users, or anyone else from harm, security risk, or legal liability;
  • we discontinue the Service, which we will do only with at least 30 days’ notice and a pro-rated refund of any prepaid fees.

Where it is reasonable and lawful, we will tell you first, explain why, and give you a chance to fix the problem. We may act without notice where there is a serious risk of harm, a security risk, or a legal requirement. We may also take lighter steps, such as limiting a feature or pausing an agent.

Getting your data out. You can export Your Content at any time while your account is active, including by cloning your workspace’s repositories. If your access ends for any reason other than a serious breach or a legal requirement, you will have 30 days afterwards to ask us for an export, unless the law requires more.

What happens after. When your access ends, pending agent actions may be cancelled, and your right to use the Service stops. We then delete Your Content as section 9 and our Privacy Policy describe.

What survives. Sections that by their nature should continue after these Terms end will continue. These include sections 7 (the parts on your promises and public content), 9 (until your data is deleted), 13 (the license to materials you keep), and 20 to 30.

23. Disclaimers

The Service, the agents, Output, and Tugboat Materials are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that the Service will be uninterrupted, secure, or error-free, or that any agent action will achieve the result you intended.

Tugboat helps you run your business, but the business stays yours. You remain responsible for honoring the bookings you accept, for the services you provide, for what your agents do for you, and for your obligations to your clients, your staff, and the authorities.

Some places do not allow certain warranties to be disclaimed, so some of these disclaimers may not apply to you.

24. Limitation of liability

To the fullest extent the law allows:

  • No indirect losses. Neither we nor our suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, even if we were told they were possible. This includes losses from an agent’s actions or Output, such as a message sent, a booking changed, content published, or data deleted.
  • A cap on what we owe. Our total liability for all claims relating to the Service or these Terms is limited to the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, and 100 US dollars.

These limits do not apply to liability for fraud, gross negligence, or willful misconduct, to your duty to pay fees, or to any liability that the law does not allow to be limited. Some places do not allow these limits, so some of them may not apply to you. The limits apply whatever the legal theory of the claim, and even if a remedy fails of its essential purpose.

25. Indemnification

You will defend and indemnify Wiblo LLC, its members, managers, employees, and agents against any third-party claim, and the losses, damages, fines, and reasonable costs (including legal fees) arising from it, to the extent it arises from Your Content, your websites, your use of the Service or your agents’ actions, your breach of these Terms, or your violation of the law or anyone’s rights. That includes claims from your clients or staff about how you collected or used their information, about messages sent for your business, or about the services you provided. We will tell you promptly about any such claim, let you control its defense, and cooperate reasonably at your cost. You may not settle a claim that imposes any duty on us without our written consent.

26. Dispute resolution and arbitration

This section applies if you live in, or your business is established in, the United States. It applies to any dispute, claim, or controversy between you and us arising out of or relating to these Terms or the Service, including about the existence, scope, or validity of this agreement to arbitrate, except as said below (a “Dispute”).

Try to resolve it first. Before starting arbitration, the party with the Dispute must send the other a written notice. Send yours to support@heytugboat.com, with your name, your account email address, a description of the Dispute, and the relief you want. We will send ours to your account email address. Each notice must be personally signed by the party sending it, and by its lawyer if it has one. For 60 days after a notice is received, you and we will try in good faith to resolve the Dispute, including by a call if either of us asks for one. Most disputes are resolved this way. Time limits for bringing a claim are paused during these 60 days.

Binding individual arbitration. If the Dispute is not resolved, you and we agree that it will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”), not in court. The AAA’s Consumer Arbitration Rules apply if you are an individual using the Service for personal purposes. Otherwise its Commercial Arbitration Rules apply. Where the AAA treats a group of cases as a mass arbitration, its Mass Arbitration Supplementary Rules also apply. The rules are available at adr.org. A single arbitrator decides the Dispute and may award the same individual relief a court could, but only for the party seeking it and only as far as needed for that party’s individual claim. The arbitration may be held by video conference, by phone, on written submissions, or in person in the US county where you live or work. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court with jurisdiction.

Fees. Payment of AAA fees follows the AAA’s rules. If you are an individual and show that the fees would be prohibitive compared with the cost of going to court, we will pay as much of them as the arbitrator decides is needed to prevent that. Each party pays its own lawyers’ fees unless the rules or the law allow the arbitrator to award them.

What stays out of arbitration. Either of us may bring an individual claim in small claims court if it qualifies. Either of us may go to court to stop infringement or misuse of intellectual property, or unauthorized access to or interference with the Service. A request for public injunctive relief, where the law allows one, is decided by a court after any arbitration of the individual claims, and the court case is paused until the arbitration ends.

No class actions and no jury. You and we may bring Disputes only individually, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not combine more than one party’s claims, except as the AAA’s mass arbitration rules provide. You and we each waive the right to a jury trial. If a court decides that this class waiver cannot be enforced for a particular claim or request for relief, that claim or request alone goes to court, and the rest stay in arbitration.

Opt out. You can reject this arbitration agreement by emailing support@heytugboat.com within 30 days of first accepting these Terms, with your name, your account email address, and a clear statement that you want to opt out of arbitration. Opting out does not affect the rest of these Terms or any earlier arbitration agreement you made with us.

Changes. If we make a material change to this section, it does not apply to a Dispute we already knew about. You may reject the change by emailing us within 30 days after it takes effect, and the earlier version then applies to you.

If you are outside the United States, this section does not apply, and section 27 governs disputes.

27. Governing law and courts

These Terms, and any Dispute, are governed by the laws of the State of Delaware, United States, and applicable US federal law, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Except for Disputes that go to arbitration or small claims court under section 26, you and we agree to the exclusive jurisdiction of the state and federal courts located in Delaware.

If you are a consumer in a country whose law gives you the right to bring claims in your local courts, or to rely on its mandatory consumer protections, these Terms do not take that right away. For businesses outside the United States, Delaware law and courts apply.

28. Export controls and sanctions

You must follow US, EU, UK, and UN export control and sanctions laws when using the Service. You may not use the Service in, or for anyone in, a country or region under comprehensive US sanctions, or for anyone on a sanctions or restricted-party list. You may not use the Service for military end uses that those laws prohibit, or put export-controlled material into the Service.

29. Changes to these Terms

We may update these Terms as the Service and the law change. If a change is material, we will tell you at least 30 days before it takes effect, by email to your account address or by a notice in the Service. Changes made to meet a legal requirement, or that only add new features, may take effect sooner. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel before then. If you have a Paid Plan and a change materially harms you, you may cancel and receive a pro-rated refund of prepaid fees for the rest of the period.

30. General terms

  • Entire agreement. These Terms, the Privacy Policy, and any order form or written agreement with us are the whole agreement between you and us about the Service. They replace earlier agreements about it, including the Wiblo Terms of Service.
  • Severability. If a court or arbitrator finds part of these Terms unenforceable, that part is enforced as far as possible, and the rest stays in effect.
  • No waiver. If we do not enforce a right, we have not given it up. A waiver must be in writing.
  • Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate, or as part of a merger, acquisition, reorganization, or sale of assets, and will tell you if we do.
  • Independent parties. These Terms create no partnership, joint venture, employment, or agency between you and us.
  • No third-party beneficiaries, except as section 19 says.
  • Force majeure. Neither of us is liable for a delay or failure caused by events beyond reasonable control, such as natural disasters, war, terrorism, labor disputes, government action, or failures of the internet, power, or a third-party provider. This does not excuse your duty to pay fees.
  • Notices. We give you notice by email to your account address or in the Service. You give us notice at support@heytugboat.com. Notices take effect when received.
  • Language. These Terms are written in English, and the English version controls.
  • Headings are for convenience only. “Including” means “including without limitation”.
  • US government users. The Service is commercial computer software, and government users receive only the rights these Terms give all users.
